*Terms of Use*

Please actually read the following Terms of Use carefully, as they are important and affect your rights. 

These Terms of Use serve as your contract for participation in the Ultimate Partnership Combo Pack (hereinafter, "the Package"), which are created and operated by Personal Empowerment Services, LLC. In the these Terms of Use, the term "PES LLC" refers to Personal Empowerment Services, LLC, along with its owners, employees, contractors, agents, successors, and assigns.

By purchasing the Package, you are agreeing to all of the following:

1. Virtual Workshops: Purchasing the Package entitles you to access online workshops held live via videoconference (along with recordings and supplemental material) for workshops held  the second Saturdays of January, March, and November. Plus you get BONUS access to a workshop the first Saturday of January. Your workshop access is good for 12 months from the date of purchase. The Workshops begin at 9am pacific time and run from 3 to 4 hours depending on subject matter. While we try to keep to the regular schedule, the precise dates and times may be subject to change based upon unforeseen circumstances. You will receive advanced notice of the finalized dates and times for each workshop.
2. Legal Document Templates: Purchasing the Package also entitles you to access the Co-Creation Legal Template Package, which contains an Affiliate Agreement, a Business Services Agreement, and an Operating Agreement, along with instructions and additional terms of use that are hereby incorporated by reference.
3. Your Responsibility/No Refunds: You understand that the Package involves complex subject matter that may present unfamiliar and difficult concepts. In addition, if you want to get the most value out of the Package, you will need to put in time and effort: (a) preparing in advance to attend workshops; (b) attending and paying attention on the days of the workshops; (c) implementing what you learned at the workshops; and (d) paying close attention to the document template instructions and making careful use of the templates. Any and all payment(s) you make are nonrefundable.
4. Email List: You understand that you must subscribe to the Package email list in order to receive emails that contain instructions on joining live, links to templates and outlines we may use, and any other information you may need for full participation in the Workshops.
5. No Legal Services: The workshops and document templates are not, and are not intended to be, legal services or advice. Likewise, any material we provide to supplement the Package -- including, but not limited to, presentation slides, worksheets, sample language, templates, outlines, checklists, and live and recorded content -- (collectively, "the Package Material") is not, and is not intended to be, legal services or advice. Rather, the workshops, templates, and Package Material are intended to be educational in nature, and the instructor will take steps to ensure the educational nature is maintained.
6. No Attorney-Client Relationship: Neither the Package nor any Package Material creates or evidences an attorney-client relationship between yourself and the instructor, Ian Foster, or PES LLC. The Package and the Package Material should not be seen as a substitute for advice from your attorney. Should you require legal advice, you will contact a licensed attorney in your area.
7. Intellectual Property: The Package and Package Material are the work product and intellectual property of PES LLC. Purchasing the Package gives you the right to attend the workshops, watch workshop recordings, and use the document templates and all Package Material for your own business purposes only. You will not give, sell, loan, or otherwise transfer the templates or Package Material in any form to any other person or entity. You also will not portray yourself as the creator or owner of the templates or Package Material.
8. No Outcome Guaranteed: You understand and acknowledge that the law can be subtle, complicated, and differ from place to place. You further understand that all decisions in life and business come with a degree of risk and no outcome is certain. Therefore, PES LLC cannot promise or guarantee any particular outcome or result from your participation in the Package, and you will not hold PES LLC liable for the failure to attain any desired outcome or result from your purchase or use of the Package.

8. Liability Waiver: You agree that PES LLC will not be held liable for any damages or losses that you may incur, whether personal or business, as a direct or indirect result of actions or decisions that you take or do not take (a) in response to attending the workshops, watching their recordings or use of the templates, (b) in response to reading, using, and/or misusing any of the Package Material, or (c) in response to any advice, answers, summaries, or action items that PES LLC may supply to you during the course of the workshops.
9. Confidentiality: PES LLC will take reasonable efforts to keep your contact and payment information private. In all other respects, PES LLC makes no promise of confidentiality.
10. Consent to Recording: You understand that the workshops will be recorded in audio and video format and you consent to such recordings. You are solely responsible for how you appear and/or sound on the calls and recordings. You agree to wear appropriate attire and to attend the calls in a location which is reasonably quiet and private. You will not use any virtual backgrounds containing any logos or other trademarked or copyrighted material that you do not own. If you use a virtual background containing trademarked, copyrighted, or proprietary material that you own, you hereby grant PES LLC an irrevocable license to display such material in the call recordings.
11. Respectful Behavior: You agree to be respectful to other participants. You will treat your fellow participants with common courtesy and respect everyone's privacy and confidentiality. PES LLC has the right to dismiss you from any workshop and/or to cancel your Package with no notice if you are disrespectful or disruptive, or if you violate another participant's confidentiality. You also agree to hold PES LLC harmless should another participant violate your confidentiality.
12. Misuse & Violations: You understand and acknowledge that misuse of the templates or Package Material and/or any violation of any of these Terms of Use will result in your immediate dismissal from the Package, the cancellation of your access, as well as appropriate legal action to protect PES LLC and its intellectual property rights.
13. Miscellaneous Terms:

• Should any portion of these Terms of Use be adjudicated invalid for any reason, it is the intent of the Parties that all remaining terms shall, to the extent possible, remain in effect. Further, it is the intent of the Parties that, to the extent practicable, these Terms should be interpreted so as to be valid and enforceable.
• These Terms of Use shall be interpreted under the laws of the State of California and without regard to conflict-of-law provisions. Any action to enforce any of these Terms must be brought in the County of Sonoma, State of California.
• These Terms of Use are the entire agreement between the Parties. No amendment to these Terms shall have effect unless made in writing and signed by both Parties
